1. Agreement to Terms
By accessing or using Cerebro ("the Service"), provided by CerebroLabs, an initiative of Rosario Data Solutions ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you disagree, do not use the Service.
2. Description of Service
Cerebro is a multi-tenant SaaS platform that builds knowledge graphs from your codebase and provides AI-powered architectural context to improve software development workflows. The Service includes API access, a web dashboard, and integrations with development tools.
3. Billing and Payments
All billing is processed by Paddle (paddle.com), who acts as the Merchant of Record for all transactions. This means Paddle is responsible for collecting payments, managing taxes (VAT, GST, etc.), and issuing invoices. By subscribing, you also agree to Paddle's terms at paddle.com/legal.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Refund requests are handled by Paddle per their refund policy.
- Prices are listed in USD and may vary by region due to local taxes applied by Paddle.
4. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or extract proprietary algorithms from the Service.
- Share API keys or access credentials with unauthorized parties.
- Use the Service to process code you do not have rights to analyze.
- Attempt to access other tenants’ data or circumvent isolation mechanisms.
- Use the Service in ways that exceed fair compute usage for your plan tier.
5. Data Ownership
- Your code and data: You retain full ownership of all code and data you upload. CerebroLabs does not claim any intellectual property rights over your content.
- The platform: CerebroLabs owns the platform, algorithms, graph structures, and all proprietary technology that powers Cerebro.
- Derived data: Usage analytics and anonymized performance metrics may be used to improve the Service.
6. Multi-Tenant Data Isolation
Cerebro uses a database-per-user architecture. Your code graph, document store, vector embeddings, and cache are stored in isolated database instances. No other tenant has access to your data. However, the platform infrastructure (servers, orchestration) is shared.
7. Service Availability
We provide the Service on a best-effort basis. No uptime SLA is guaranteed during early access tiers. Planned maintenance will be announced with reasonable notice. We are not liable for downtime caused by third-party infrastructure providers (cloud databases, LLM APIs).
8. Termination
- You may cancel your subscription at any time through your Paddle billing portal.
- Upon cancellation, your account remains active until the end of the paid period.
- After cancellation, you have 30 days to export your data. After this period, data may be deleted.
- We reserve the right to terminate accounts that violate these Terms, with or without notice.
9. Limitation of Liability
To the maximum extent permitted by applicable law, CerebroLabs is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities arising from use of the Service.
10. Changes to Terms
We may update these Terms at any time. We will notify active subscribers by email at least 15 days before material changes take effect. Continued use after that date constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of the Republic of Argentina. Disputes shall be submitted to the courts of the City of Rosario, Santa Fe, Argentina.
